Terms and Conditions

1. About us

1.1 These Terms and Conditions ("Terms") govern your use of the services provided by Snowflow Capital Ltd ("Snowflow", "we", "us", "our"), a company registered in England and Wales under company number 16307119.

2. Definitions

  • Account means a personal or business account held with Snowflow.
  • Business Day means Monday to Friday excluding UK bank holidays.
  • Card means a Snowflow business debit card.
  • Cryptoassets means digital assets such as Bitcoin, Ether, stablecoins and other supported tokens.
  • Fees means the charges set out in our Fee Schedule.
  • Payment Order means an instruction to make a payment or transfer.
  • Services means business accounts, personal accounts, business debit card, online payment portal, foreign exchange, crypto trading and any related services.
  • You/your means the account holder or authorised representative.

3. Eligibility

3.1 You must be at least 18 years old and not be prohibited by law from using our Services.

3.2 If you are a business, you must be validly incorporated and provide all requested due diligence information. We may refuse to open an account or provide Services at our discretion.

4. Account opening

4.1 You must provide accurate, complete and up-to-date information and documents for identity and address verification, beneficial ownership, source of funds or wealth, business activity and purpose of account, and tax identification.

4.2 We may perform credit, fraud, sanctions, politically exposed person and anti-money laundering checks. We may refuse to open an account where these checks are not satisfactory.

5. Business Accounts

5.1 We may provide multi-currency business accounts. You must use the business account only for legitimate business purposes.

5.2 We may set transaction limits, hold funds for review, or require additional information before processing a transaction. We may refuse to process transactions that we reasonably suspect are unlawful or unauthorised.

6. Personal Accounts

6.1 Personal accounts are for personal use only. You must not use a personal account for business purposes unless we agree otherwise.

6.2 We may set limits on balances, transactions and transfers for personal accounts.

7. Business Debit Card

7.1 Cards are issued by [Card Issuer Name] under licence. You must keep your card secure and never share your PIN or card details with unauthorised persons.

7.2 You must notify us immediately if your card is lost, stolen or compromised. Provided you have not acted fraudulently or with gross negligence, your liability for unauthorised card transactions may be limited under the Payment Services Regulations 2017.

7.3 We may suspend, restrict or cancel a card at any time for security or regulatory reasons.

8. Online Payment Portal

8.1 You may use the online payment portal to initiate, receive and manage payments.

8.2 You must provide correct payee and payment details. We are not liable for losses caused by incorrect details provided by you, unless caused by our error.

8.3 Payment Orders are generally irrevocable once received. If you report an unauthorised or incorrectly executed payment, we may refund where required by the Payment Services Regulations 2017, subject to investigation.

9. Foreign Exchange

9.1 We may offer spot foreign exchange conversions.

9.2 Exchange rates, fees and settlement times will be shown before you confirm a conversion. FX rates may change quickly, and you are responsible for your conversion decisions.

10. Crypto Trading

10.1 We may enable buying, selling, holding and transferring cryptoassets.

10.2 Cryptoassets are highly volatile and speculative. The value of cryptoassets can fall significantly and may fall to zero. You acknowledge that:

  • cryptoassets are not legal tender;
  • cryptoasset services are high risk;
  • cryptoassets are not covered by the Financial Services Compensation Scheme;
  • complaints about cryptoassets may not be eligible for the Financial Ombudsman Service;
  • nothing we provide constitutes investment, tax or legal advice.

10.3 You must not use our crypto trading services for illegal activities. We may suspend or reject crypto transactions to comply with anti-money laundering, counter-terrorist financing, sanctions or other legal obligations.

11. Fees

11.1 You agree to pay all applicable Fees. Fees may be deducted from your account or added to a transaction.

11.2 We may change Fees by giving at least [30] days' notice. Continued use of the Services after the change takes effect constitutes acceptance.

12. Customer obligations

You must:

  • keep login credentials and security details confidential;
  • update your contact, business and due diligence information;
  • monitor your account and transaction activity regularly;
  • report errors, unauthorised transactions or security breaches promptly;
  • comply with all applicable laws, including tax, anti-money laundering and sanctions laws.

13. Prohibited activities

You must not use the Services for:

  • fraud, money laundering, terrorist financing or tax evasion;
  • transactions involving sanctioned persons, entities or countries;
  • unlawful gambling, weapons, drugs, adult content or other restricted categories;
  • activities that could damage our systems, reputation or operations;
  • market abuse or manipulative trading.

14. Suspension and termination

14.1 We may suspend, restrict or terminate your access to the Services without notice if we suspect fraud, breach of law or breach of these Terms, or if required by law.

14.2 We may close your account by giving [30] days' notice. You may close your account by contacting us, subject to any outstanding obligations.

15. Liability

15.1 We are not liable for losses caused by your breach of these Terms, losses caused by third parties, losses caused by market movements, crypto volatility or FX fluctuations, indirect or consequential losses, or events outside our reasonable control.

15.2 Our total liability for any claim is limited to the value of the relevant transaction or [insert amount], where permitted by law. Nothing limits our liability for fraud, death or personal injury caused by negligence.

16. Data protection

16.1 We process personal data in accordance with our Privacy Policy.

17. Complaints

17.1 If you are unhappy with our Services, please contact us using the details in our Complaints and Regulatory Information page. If your complaint is not resolved, you may refer it to the Financial Ombudsman Service where eligible.

18. Changes to these Terms

18.1 We may change these Terms by giving at least [30] days' notice. Continued use of the Services after the change takes effect constitutes acceptance.

19. Governing law

19.1 These Terms are governed by English law and are subject to the exclusive jurisdiction of the English courts.
